By accessing or using MnemonX ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and MnemonX.
MnemonX is a neural context engine that allows users to encode, store, and export AI context across multiple AI tools. The Service includes: encrypted cloud wallet storage with regional data residency (US/EU); AI-powered memory import; subscription-based tier features; an OAuth API allowing authorised third-party AI applications to access your wallet data with your explicit consent; and enterprise/organisation features for team-wide memory.

You are responsible for maintaining the security and confidentiality of your account. Notify us immediately at [email protected] if you suspect unauthorised access.
At signup, MnemonX detects your location and assigns your wallet to the nearest available data region. Currently: United States (us-east-1) and European Union (eu-central-1, Frankfurt). Your encrypted wallet data and encryption keys remain in your assigned region.
Subscription tier, Stripe IDs, and account metadata are always stored on our US database regardless of wallet region. These records do not contain wallet content.
Changing your data region requires a support-assisted migration. Email [email protected]. We will coordinate the transfer of your encrypted wallet to the new region. Automated self-service region changes are not currently available.
Users detected in APAC (Australia/New Zealand, Southeast Asia) or LATAM (South America) regions are shown a "coming soon" page and cannot currently register. When those regions launch, users will sign up directly into the correct regional DB — we will never silently store your data in a region you did not choose.
By checking the SMS consent checkbox during registration or login, you expressly consent to receive SMS messages from MnemonX at the phone number you provide. Consent to marketing SMS is voluntary. Consent to authentication OTPs is required because SMS OTP is the only login method.

Reply STOP to any SMS, or use the in-app opt-out toggle. Authentication OTPs cannot be disabled independently of SMS login.

All payments processed by Stripe. We never see or store your card details.
Cancel at any time. Your plan continues until the end of the current billing period. No refunds for partial periods (except where required by law).
EU consumers: you have a 14-day right of withdrawal from the date of purchase under the EU Consumer Rights Directive. As the Service is digital, the right of withdrawal expires when you first use a paid feature (by your explicit consent at checkout).
UK consumers: same 14-day cancellation right under the Consumer Contracts Regulations 2013, subject to the digital content provision rule above.
Team and Enterprise organizations may elect to pay by invoice instead of card, with payment due 30 days from the invoice date. If an invoice remains unpaid 15 days past its due date (45 days total), we may suspend the organization's access to shared and API features until payment is received. Suspension does not delete any data, remove any member, or affect a member's own personal wallet — it is reversed automatically the moment the invoice is paid.
No third-party AI tool may access your wallet data without you going through our OAuth consent screen and explicitly granting domain-level scopes (e.g. memory.read:work).
Access is limited to the scopes you grant. An app with memory.read:work cannot access memory.read:health or any other domain.
You may revoke any third-party access at any time from Wallet → Connected Apps, or via DELETE /api/oauth/revoke.
Only apps reviewed and approved via our developer registration process at /developers/register may request OAuth access. We notify you via email when a new app is approved.
Every API call to your wallet is logged (endpoint, timestamp, scope used). Retained 90 days. Viewable in Wallet → API Access tab.
If you are a member of a Team or Enterprise organization, that organization's admin may enable a setting that blocks all members — including you — from connecting personal third-party apps, to your own personal domains as well as shared ones. This is disclosed to the admin at the time they enable it and applies org-wide, not per member.
Where MnemonX acts as a data processor on behalf of enterprise customers (e.g. organisations using MnemonX to manage employee AI context), the Data Processing Agreement (DPA) governs that relationship in accordance with GDPR Article 28. Key commitments:
MnemonX does not sell personal information as defined under CCPA §1798.140(t). MnemonX does not share personal information for cross-context behavioural advertising as defined under CPRA §1798.140(ah). Where MnemonX acts as a Service Provider to California businesses, we: (a) process personal information only for specified business purposes; (b) do not retain, use, or disclose personal information outside the service relationship; (c) comply with all applicable restrictions under CCPA §1798.140(ag).

The MnemonX platform, brand, and code are the property of MnemonX. You retain full ownership of all content in your wallet.
By using the AI import feature, you grant us a transient, non-exclusive licence to process your import text solely for the purpose of extracting and structuring it into your wallet. This licence terminates immediately after extraction.
To the maximum extent permitted by applicable law: the Service is provided "as is" without warranties of any kind. MnemonX is not liable for loss of encrypted data arising from forgotten credentials, device loss, or infrastructure failures outside our control. Our total aggregate liability in any 12-month period shall not exceed the amount you paid us in the preceding 12 months.
EU/UK consumers: Nothing in these Terms limits statutory consumer rights under applicable EU/UK law, including mandatory warranty rights and remedies for defective digital content under the EU Digital Content Directive (2019/770).
You may terminate your account at any time from wallet settings. We may terminate accounts for material breach of these Terms, with or without notice depending on severity. Upon termination, your encrypted wallet is immediately and irreversibly deleted from the regional database.
These Terms are governed by the laws of the State of Delaware, USA. Disputes: binding arbitration under JAMS Streamlined Rules, conducted in English, virtual.
Governed by California law. CCPA rights are non-waivable. Disputes: JAMS arbitration. Class action waiver applies to the maximum extent permitted by CA law.
For EU consumers, mandatory consumer protection rules of your country of residence apply. Disputes may be referred to your national consumer protection authority or the EU ODR platform (ec.europa.eu/odr).
Governed by English and Welsh law for UK users. UK consumer statutory rights are unaffected by these Terms.
We may update these Terms. We will notify you of material changes via the Service and, where required by law, via SMS or email. For EU/UK consumers, material changes that negatively affect your rights require 30 days notice before taking effect. Continued use after the effective date constitutes acceptance.
